Terms of Service
Effective date: July 15, 2026
These Terms of Service ("Terms") are a binding legal agreement between you ("you", "user") and PUTPAD ("PUTPAD", "we", "us", "our") governing your access to and use of the PUTPAD website, waitlist, Discord community, and any related products, software, APIs, dialer, tools, and services (collectively, the "Service"). By joining the waitlist, submitting information, clicking any "I agree" button, or otherwise accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and have full legal capacity to enter into a binding contract. You represent that you are acting on behalf of a legitimate business conducting lawful business-to-business ("B2B") outreach and that you have all rights, licenses, registrations, and consents required in every jurisdiction in which you place calls, send messages, or otherwise use the Service.
2. Waitlist & Beta Access
The Service is currently offered on a waitlist and pre-release basis. Placement on the waitlist does not guarantee access, and access may be granted, delayed, limited, suspended, or revoked at our sole discretion. Any pre-release, beta, alpha, preview, or early-access features are provided "AS IS" and may be modified, discontinued, or withdrawn without notice.
3. Accounts & Information You Provide
You agree to provide accurate, current, and complete information (including your name, email address, and phone number) and to keep that information up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. We may refuse, suspend, or terminate any account at any time.
4. Acceptable Use
You agree that you will not, and will not permit any third party to:
- use the Service for consumer telemarketing, robocalls, autodialed calls, prerecorded messages, ringless voicemails, or any communication targeted at consumers or residential lines;
- call, text, or contact any number listed on any Do-Not-Call registry, internal suppression list, or otherwise without a valid legal basis;
- violate the Telephone Consumer Protection Act (TCPA), Telemarketing Sales Rule (TSR), CAN-SPAM, TRACED Act, STIR/SHAKEN requirements, CRTC rules, GDPR, UK GDPR, PECR, CASL, CCPA/CPRA, or any other applicable law, rule, regulation, or carrier policy;
- spoof caller ID, transmit misleading originating information, or impersonate any person or entity;
- upload, transmit, or process any data you do not have the right to use, including data obtained from breaches, scraping in violation of a site's terms, or purchased lists you cannot lawfully use;
- use the Service to harass, defame, threaten, stalk, or harm any person;
- reverse engineer, decompile, disassemble, scrape, or attempt to derive the source code, models, or underlying ideas of the Service, except to the extent expressly permitted by law;
- interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, its servers, or related infrastructure;
- resell, sublicense, white-label, or provide the Service to third parties without our prior written consent; or
- use the Service to develop or train a competing product.
You are solely responsible for the content of your calls, messages, lists, scripts, and all outreach conducted through the Service, and for obtaining and maintaining any required consents from called or messaged parties.
5. AI Features
The Service may include artificial intelligence and machine learning features, including transcription, summarization, coaching, and suggested responses (collectively, "AI Features"). AI Features are probabilistic and may produce inaccurate, incomplete, or offensive output. You must independently review AI output before relying on it, and you are solely responsible for any decision or communication made based on AI output. AI Features are not legal, financial, medical, or professional advice.
6. Fees, Minutes & Billing
The waitlist and Discord community are free to join. Use of the dialer is billed on a usage basis for the minutes you dial and for any add-on services, at the rates published at the time of use. All fees are non-refundable except where required by law. You authorize us and our payment processors to charge your selected payment method for all applicable fees, taxes, and surcharges. We may change our pricing at any time with prospective effect.
7. Telecom Compliance & Your Responsibilities
You acknowledge that PUTPAD is a software tool. You — not PUTPAD — are the "caller," "sender," "initiator," "data controller," and/or "seller" (as those or similar terms are defined under applicable law) of every communication you originate through the Service. You are solely responsible for: (a) confirming a lawful basis (including express consent where required) before contacting any person; (b) honoring do-not-call, opt-out, and revocation requests; (c) maintaining accurate suppression lists; (d) complying with call-time, disclosure, identification, recording-notice, and two-party consent laws; and (e) registering, branding, or vetting phone numbers (including 10DLC, CNAM, STIR/SHAKEN attestation, and campaign registration) as required by carriers and regulators. You agree to indemnify us for any failure to do so as set forth in Section 12.
8. Call Recording & Monitoring
The Service may enable recording, transcription, and monitoring of calls. Many jurisdictions require the consent of one or all parties to a call before recording. You are solely responsible for providing any required disclosures and obtaining any required consents. You grant us the right to process, store, and analyze recordings, transcripts, and related metadata to operate, secure, and improve the Service.
9. User Content & License
You retain ownership of the content, lists, scripts, recordings, and other materials you submit to the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, copy, transmit, process, display, and create derivative works of User Content solely to provide, secure, and improve the Service, and to create de-identified, aggregated analytics that do not identify you or any individual.
10. Intellectual Property
The Service, including all software, models, designs, logos, and content we provide, is owned by PUTPAD or its licensors and is protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. All rights not expressly granted are reserved. "PUTPAD" and the PUTPAD logo are our trademarks; you may not use them without our prior written consent.
11. Feedback
If you send us suggestions, ideas, or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.
12. Third-Party Services
The Service integrates with third-party services (including telecom carriers, payment processors, and Discord). Your use of those services is governed by their terms, and we are not responsible for their acts, omissions, availability, or content.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PUTPAD DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY CALL WILL CONNECT, COMPLETE, OR DELIVER. WE DO NOT WARRANT THAT USE OF THE SERVICE WILL COMPLY WITH ANY LAW APPLICABLE TO YOU.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PUTPAD, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU ACTUALLY PAID US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THE PARTIES ACKNOWLEDGE THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN.
15. Indemnification
You will defend, indemnify, and hold harmless PUTPAD and its affiliates, officers, directors, employees, and agents from and against any and all claims, demands, losses, liabilities, damages, penalties, fines, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any communication you initiate through the Service; (c) your User Content; (d) your violation of these Terms or any applicable law (including the TCPA, TSR, CAN-SPAM, GDPR, CCPA/CPRA, and carrier requirements); or (e) your violation of any third-party right, including privacy, publicity, or intellectual property rights.
16. Suspension & Termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, for any reason, including suspected violation of these Terms, risk to the Service or other users, carrier or regulatory demand, non-payment, or business decision. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.
17. Changes to the Service or Terms
We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will provide notice (for example, by posting the updated Terms with a new effective date or by email). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
18. Governing Law; Venue
These Terms are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws rules. Subject to Section 19, the state and federal courts located in Delaware will have exclusive jurisdiction over any dispute not subject to arbitration, and each party consents to personal jurisdiction and venue in those courts.
19. Binding Arbitration; Class-Action Waiver
Please read this section carefully — it affects your legal rights.Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer or Commercial Arbitration Rules, as applicable. The arbitration will be conducted in English, seated in Delaware, and decided by a single arbitrator. The arbitrator, and not any court, has exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court may decide whether a claim is a Small Claim (below). YOU AND PUTPAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this waiver is found unenforceable, then the entirety of this Section 19 will be null and void, but the remainder of these Terms will remain in effect. Either party may bring an individual action in small-claims court for disputes within that court's jurisdiction ("Small Claim"). You may opt out of this arbitration agreement within 30 days after first accepting these Terms by sending written notice to the contact below.
20. Export & Sanctions
You represent that you are not located in, and will not access or use the Service from, any country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. or other applicable government restricted-party list.
21. Force Majeure
We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor conditions, governmental actions, carrier or internet outages, or cyberattacks.
22. Miscellaneous
These Terms, together with any policies we reference, are the entire agreement between you and PUTPAD regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship.
